These Terms of Service ("Terms") are a legal agreement between you and Archevi ("we", "us", "our"), operated by Archevi Technologies Inc., a Canadian federal corporation based in Ontario, Canada. By creating an account or using our service, you agree to be bound by these Terms.

Please read these Terms carefully before using Archevi. If you do not agree, do not use the service.

1. Description of Service

Archevi is an AI-powered family document management service that allows you to:

  • Upload, store, and organize family documents (PDFs, images, scanned files)
  • Search and ask questions about your documents using natural language
  • Receive AI-generated answers with citations to specific documents and pages
  • Share document access with family members in a secure, shared vault
  • Receive expiry date alerts for time-sensitive documents
  • Record and transcribe voice notes

Archevi is hosted entirely on Canadian servers (DigitalOcean, Toronto TOR1 data centre). All data storage and processing occurs within Canada, subject to Canadian privacy law (PIPEDA). No application data is stored outside Canada. AI inference requests may be processed internationally as described in Section 5.

2. Eligibility and Account Registration

You must be at least 18 years old (the age of majority in Ontario) to create an account. By registering, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete registration information and keep it up to date. Notify us immediately at [email protected] if you suspect unauthorized access to your account.

3. Your Content and Data Ownership

You own your data. All documents, files, voice notes, and other content you upload to Archevi ("Your Content") remain your property. We do not claim any ownership rights over Your Content.

By using Archevi, you grant us a limited, non-exclusive licence to process, store, index, and display Your Content solely to provide and improve the service for you. This licence terminates when you delete Your Content or close your account.

We commit to the following regarding Your Content:

  • We will never sell your data to third parties
  • We will never use your data for advertising purposes
  • We will never share your data with third parties except as described in these Terms and our Privacy Policy
  • We will never use your data to train AI models

Your documents are encrypted at rest and in transit on Canadian infrastructure. When Your Content is processed by AI, it undergoes boundary anonymization -- personal identifiers (names, email addresses, phone numbers) are replaced with realistic surrogates before being sent to AI providers. Your real personal information is never shared with AI providers.

4. Data Export and Portability

You may export Your Content at any time through the Archevi application. Upon account cancellation, you will have a 30-day window to export your data before it is scheduled for deletion. You may also request a full data export by emailing [email protected].

5. AI Processing and Disclaimers

5.1 How AI Processing Works

Archevi uses third-party AI providers to answer questions about your documents. Currently, we use:

  • Groq -- for natural language question answering
  • Cohere -- for document embedding and semantic search (SOC 2 Type II certified)

Before any document content is sent to these providers:

  • Personal identifiers (names, emails, phone numbers, addresses, organization names) are replaced with realistic surrogates via boundary anonymization
  • Highly sensitive data types (Social Insurance Numbers, credit card numbers, bank account numbers, passport numbers, driver's licence numbers) are permanently redacted and never sent to any external service

These AI providers operate under data processing agreements that prohibit them from using your data for model training. Groq and Cohere maintain zero-retention policies on inference requests.

Cross-border disclosure: AI inference requests may be processed on servers located outside Canada (United States). Only anonymized and redacted content is sent. No real personal identifiers leave Canadian infrastructure.

5.2 AI Is Not Professional Advice

IMPORTANT: AI-generated responses are for general informational purposes only. Archevi does not provide:

  • Legal advice or legal interpretation
  • Medical advice or diagnosis
  • Financial advice or investment recommendations
  • Insurance coverage opinions or claims guidance
  • Tax advice or preparation
  • Any other form of professional advice

Always consult a qualified professional (lawyer, doctor, financial advisor, insurance broker, accountant) before making decisions based on AI-generated answers. AI responses should not be relied upon as a substitute for professional consultation.

5.3 Accuracy Not Guaranteed

AI may produce responses that are inaccurate, incomplete, or misleading. AI systems can generate plausible-sounding but factually incorrect information ("hallucinations"). While Archevi provides citations to source documents, we do not guarantee the accuracy, completeness, or reliability of any AI-generated content. You are responsible for verifying AI outputs independently.

5.4 No Professional Relationship

Using Archevi's AI features does not create any professional-client relationship. Archevi is not a law firm, medical provider, financial institution, or insurance company. The AI is designed to help you locate and understand information within your own documents -- it is not designed to interpret legal obligations, diagnose conditions, or provide recommendations.

6. Acceptable Use

You agree not to:

  • Use Archevi for any unlawful purpose or in violation of any applicable law
  • Upload content that infringes the intellectual property rights of others
  • Upload content you do not have the legal right to store or share
  • Attempt to gain unauthorized access to the service, other accounts, or our infrastructure
  • Upload malicious code, viruses, or any harmful content
  • Reverse-engineer, decompile, or disassemble any part of the service
  • Share your account credentials with others or allow unauthorized access
  • Use the service in a way that could damage, disable, or impair it for other users

Violation of these terms may result in suspension or termination of your account.

7. Subscription Plans, Payments, and Pricing

7.1 Plans

Archevi offers the following subscription plans (prices in Canadian dollars, taxes may apply):

  • Free -- $0/month. Permanent free plan. 1 GB storage, 1 user, 30 AI queries/month, 15 document uploads/month. No credit card required.
  • Core -- $6/month or $60/year. 5 GB storage, 3 family members, 150 AI queries/month, 10 voice notes/month.
  • Plus -- $12/month or $120/year. 25 GB storage, 8 family members, 500 AI queries/month, 50 voice notes/month. Includes advanced categories, document sharing, and priority support.
  • Pro -- $24/month or $240/year. 100 GB storage, 20 family members, unlimited AI queries, 150 voice notes/month. Includes audit logging, PIPEDA compliance support, phone support, and dedicated account manager.
  • Founders Circle Lifetime Deal -- $250 one-time payment. Includes Plus plan features permanently with no recurring fees. Limited availability.

7.2 Free Plan

Archevi offers a permanent Free plan with no credit card required. The Free plan includes 1 GB of storage, 1 user, 30 AI queries per month, and 15 document uploads per month. You can use the Free plan for as long as you like with no time limit. When you are ready to upgrade to Core, Plus, or Pro, you can do so from your account settings at any time. Your data and documents will carry over when you upgrade or downgrade between plans.

7.3 Payments

Payments are processed securely by Stripe. Archevi does not store your credit card information -- all payment data is handled by Stripe in compliance with PCI DSS standards. All prices are in Canadian dollars (CAD). Applicable taxes (HST/GST) will be added at checkout.

7.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. We will send you a reminder at least 30 days before each renewal with the renewal date, price, and instructions for cancellation. You can cancel auto-renewal at any time through your account settings.

7.5 Price Changes

We may change subscription prices with at least 30 days' advance notice via email. Price changes will take effect at your next billing cycle after the notice period. Founding Members' prices are locked in permanently and are exempt from price increases.

6.1 Content Moderation and Reporting

Archevi automatically scans all uploaded files for malware and known illegal content, as described in our Privacy Policy. In addition:

  • Illegal content reporting: If our automated systems detect child sexual abuse material (CSAM) or other illegal content, we are required by law to report it to the Canadian Centre for Child Protection, the RCMP, and other appropriate law enforcement authorities. We will preserve relevant evidence and cooperate fully with any investigation. Your account may be immediately suspended pending investigation.
  • Notice and takedown: If we receive a valid legal notice or complaint that content in your account infringes intellectual property rights or violates applicable law, we may remove or disable access to the content. We will notify you of any such action and provide an opportunity to respond, except where prohibited by law or where notification would compromise a law enforcement investigation.
  • Abuse reporting: If you encounter content that violates our Acceptable Use Policy, you may report it to [email protected]. We investigate all reports and take appropriate action, which may include content removal, account suspension, or referral to law enforcement.

We make reasonable efforts to act promptly on reports and legal notices. Our content moderation practices are designed to balance platform safety with your privacy rights. For details on how automated scanning works, see Section 5.5 of our Privacy Policy.

8. Cancellation, Refunds, and Account Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access to paid features through the end of your current billing period
  • No further charges will be made to your payment method
  • After the billing period ends, your account reverts to our Free plan (1 GB storage, 1 user, 30 AI queries per month)
  • You have 30 days after the end of your billing period to export your data
  • After the 30-day export window, your data will be scheduled for deletion in accordance with our data retention policy

8.2 Refunds

We offer a 30-day satisfaction guarantee. If you are not satisfied with Archevi, contact us at [email protected] within 30 days of your first paid charge for a full refund. Refunds after this period are provided at our discretion.

8.3 Termination by Archevi Technologies Inc.

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use policy
  • Your account is used for illegal activity
  • You fail to pay subscription fees after reasonable notice
  • We are required to do so by law

If we terminate your account for cause, we will provide reasonable notice where possible and allow you to export your data for 30 days, unless prohibited by law. If we terminate for any reason other than cause, you will receive a pro-rata refund for the unused portion of your subscription.

9. Family Accounts and Multi-Tenancy

Each family operates in a completely isolated tenant with separate data storage and access controls. Database-level row-level security ensures that no family can access another family's documents, queries, or data.

The account owner manages family membership by inviting and removing members. Family members share access to the vault's documents according to permissions set by the owner. The account owner is responsible for the actions of invited family members within the shared vault.

10. Privacy and Data Protection

Your privacy is fundamental to Archevi. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key commitments:

  • All data-at-rest is stored on DigitalOcean servers in Toronto, Canada (TOR1 data centre), subject to PIPEDA (Personal Information Protection and Electronic Documents Act). No application data is stored in the United States or any other country.
  • We have designated a privacy contact reachable at [email protected]
  • You have the right to access, correct, and request deletion of your personal information
  • We will notify affected users and the Privacy Commissioner of Canada of any data breach that creates a real risk of significant harm, as required by PIPEDA
  • We maintain records of all data breaches for at least 24 months

11. Intellectual Property

Archevi and its original content, features, and functionality (excluding Your Content) are owned by Archevi Technologies Inc. Technologies Inc. and protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works based on the service without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Archevi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • Our total aggregate liability for any claims arising from or related to the service shall not exceed the amounts you have paid to us in the 12 months preceding the claim
  • We are not liable for any actions you take based on AI-generated responses

Exceptions: These limitations do not apply to liability arising from our gross negligence, willful misconduct, fraud, or a data breach caused by our failure to implement reasonable security safeguards. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

13. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The service will be uninterrupted, error-free, or secure at all times
  • AI-generated answers will be accurate, complete, or reliable
  • The service will meet your specific requirements
  • Any errors in the service will be corrected

14. Indemnification

You agree to indemnify and hold Archevi Technologies Inc. harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of the service
  • Content you upload that infringes the rights of others
  • Your reliance on AI-generated content for professional, legal, medical, or financial decisions

15. Communications and CASL Compliance

By creating an account, you consent to receive transactional communications from Archevi (account confirmations, security alerts, billing receipts, service updates). These are necessary to provide the service and are exempt from CASL (Canada's Anti-Spam Legislation) consent requirements.

We will only send marketing or promotional emails with your express consent. Every marketing email includes a clear unsubscribe mechanism. You can opt out of marketing communications at any time through your account settings or by clicking "unsubscribe" in any email.

16. Dispute Resolution

If you have a dispute regarding the service, we encourage you to first contact us at [email protected] so we can attempt to resolve it informally. Most concerns can be resolved quickly through direct communication.

If we cannot resolve the dispute informally within 30 days, either party may pursue legal remedies in the courts of Ontario.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of changes by email at least 30 days before they take effect. For material changes that affect your rights or obligations, we will request your affirmative consent.

Continued use of the service after the notice period constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your account before the new Terms take effect.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal proceedings arising from these Terms or the service shall be brought exclusively in the courts of the Province of Ontario, and you consent to the jurisdiction of those courts.

19. General Provisions

19.1 Force Majeure

Archevi Technologies Inc. shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure failures, pandemics, or third-party service outages.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

19.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Archevi Technologies Inc. regarding the service and supersede all prior agreements, representations, and understandings.

19.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to honour these Terms.

19.5 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

19.6 Survival

Sections 3 (Your Content), 5.2-5.4 (AI Disclaimers), 10 (Privacy), 11 (Intellectual Property), 12 (Limitation of Liability), 13 (Disclaimer of Warranties), 14 (Indemnification), 16 (Dispute Resolution), 18 (Governing Law), and 19 (General Provisions) survive termination of these Terms.

19.7 Consumer Rights

Nothing in these Terms is intended to exclude or limit your statutory rights under the Ontario Consumer Protection Act, 2002 or any successor legislation. To the extent any provision of these Terms conflicts with your statutory consumer rights, your statutory rights prevail.
